Our Constitution

CONSTITUTION OF WELLS ANGELS

1. Name

The group shall be called Wells Angels (hereinafter referred to as 'the Group').

2. Aims and Purposes

The aims of the Group are to:

•   Bring together women in the local community for social, educational, and recreational activities.

•   Provide a supportive and welcoming environment for all members.

•   Organise events, activities, and meetings for the benefit of members.

3. Membership

3.1 Membership is open to all women who support the aims of the Group.

3.2 Members must pay the annual membership fee as agreed at the Annual General Meeting (AGM).

3.3 The Committee may refuse or terminate membership if a member's conduct is considered contrary to the interests or values of the Group.

4. Committee

4.1 The Group shall be managed by a Committee consisting of at minimum: a Chair, a Secretary, and a Treasurer.

4.2 Committee members shall be elected at the AGM and shall serve for one year, being eligible for re-election.

4.3 The Committee shall have the power to co-opt additional members to the Committee as required.

4.4 A quorum for Committee meetings shall be three members.

5. Meetings

5.1 The Group shall hold regular meetings at a frequency agreed by members.

5.2 An Annual General Meeting (AGM) shall be held once per year. All members shall be given at least 14 days' notice of the AGM.

5.3 A quorum for the AGM shall be 15 members.

5.4 Decisions at meetings shall be made by a simple majority vote. In the event of a tie, the Chair shall have a casting vote.

6. Finances

6.1 All income and assets of the Group shall be used for the purposes of the Group.

6.2 The Group shall maintain a bank account in the name of Wells Angels.

6.3 All payments from the Group's account must be authorised by two signatories, who shall be committee members.

6.4 The Treasurer shall maintain accounts and present a financial report at each AGM.

6.5 No committee member shall personally benefit financially from the Group.

7. Amendments to the Constitution

This constitution may only be amended at the AGM or a Special General Meeting, with at least two-thirds of members present voting in favour. Members must receive 14 days' written notice of any proposed amendment.

8. Dissolution

If the Group decides to dissolve, any remaining assets after all debts have been paid shall be donated to a charity or community group agreed by a majority of members at the dissolution meeting. No assets shall be distributed to members.
